These Terms and Conditions ("Agreement") govern your use of Fliqwave services. By engaging Fliqwave, you agree to the terms below. Effective date: February 5, 2026.
Capitalized terms have the meanings set forth in Section 1 or where first used.
1.1 "Client"means the entity or person purchasing Services from Fliqwave.
1.2 "Services"means managed IT, cloud, cybersecurity, software engineering, and related professional services described in a statement of work ("SOW").
1.3 "Deliverables"means reports, configurations, code, documentation, or other work product provided by Fliqwave.
1.4 "Confidential Information"means non-public information disclosed by either party that should reasonably be understood as confidential.
2.1 Scope Services are provided as described in the applicable SOW, including timelines, responsibilities, and service levels where applicable.
2.2 Client responsibilities The Client will provide timely access to systems, personnel, and information required to deliver the Services and is responsible for authorized use of any accounts or credentials.
2.3 Third-party services Some Services may rely on third-party platforms or vendors. The Client agrees to applicable third-party terms and is responsible for third-party fees unless otherwise stated in the SOW.
Fees, billing terms, and payment schedules are defined in the SOW. Late payments may result in paused Services until accounts are current.
Each party will protect the other party's Confidential Information and use it only to perform or receive Services.
Pre-existing IP remains with the original owner. Custom Deliverables are licensed or assigned as described in the SOW.
Services are provided "as is" to the extent permitted by law. Neither party will be liable for indirect, incidental, or consequential damages. Total liability is limited to fees paid in the 12 months preceding the claim.
This Agreement remains in effect for the term in the SOW. Either party may terminate for material breach with notice and an opportunity to cure as defined in the SOW.
